Crestline Limited Takes Control of Monobank Operator

The Antimonopoly Committee of Ukraine has granted permission to the Cypriot company Crestline Limited to acquire a controlling stake in Fintech Band LLC, the developer and technology operator of monobank, which operates under the Universal Bank, reports the Baltimore Chronicle with reference to the AMCU.

Previously, Crestline Limited owned 0.08% of Fintech Band. Following the transaction, its share increased to 63.98%. The main shareholders of the company, Mykhailo Rogalskyi and Oleh Horokhovskyi, have retained control over the bank, each holding 31.96% of shares, as well as 5.24% each through Crestline Limited.

Other shareholders of Fintech Band include Yevheniia Kryvenko (14%), Daria Bukreeva (8%), and the Cypriot company Nisets Limited (14%). Crestline Limited also owns 2.784% of AC DC Processing LLC, 93.351% of which belongs to Fintech Band. Minority shareholders of this company are Horokhovskyi, Rogalskyi, and Kryvenko (each holding 1.082%), and Bukreeva (0.618%).

According to Oleh Horokhovskyi, the changes in ownership structure are part of the company’s development strategy and align with international corporate governance practices. Crestline Limited and Nisets Limited are registered as tax residents of Ukraine and pay all required taxes.
